Summary

As a Senior Corporate Counsel for Shared Services, you will be an integral part of our legal team, responsible for supporting commercial contracts and providing expert legal advice in real estate, litigation, intellectual property (IP), data privacy, and compliance. You will work closely with various departments and lines of business across the organization to ensure legal compliance, mitigate risks, and support the company's strategic objectives. The ideal candidate will have substantial experience in corporate law, commercial transactions, and regulatory compliance, with a strong background supporting shared services organizations.

This position will support our Legal team. It is eligible to work a hybrid schedule, generally requiring work in-office 2-3 days per week. The ideal candidate will be based out of any of the following locations:

  • Dallas, TX

  • Chicago, IL

Essential Duties & Responsibilities

Commercial Contracts:

  • Draft, review, negotiate, and advise on a wide range of commercial agreements, including vendor contracts, service agreements, licensing agreements, and procurement contracts.

  • Ensure contracts comply with company policies, legal requirements, and industry best practices.

  • Develop and maintain contract templates and play a key role in contract management processes.

Intellectual Property (IP):

  • Manage and protect the company's intellectual property portfolio, including trademarks, patents, copyrights, and trade secrets.

  • Conduct IP due diligence for strategic initiatives, mergers, acquisitions, and partnerships.

  • Advise on IP licensing agreements, infringement issues, and enforcement strategies.

Data Privacy:

  • Provide legal guidance on data privacy and security matters, including GDPR, CCPA, and other relevant regulations.

  • Develop and implement data privacy policies, procedures, and compliance programs.

  • Conduct privacy impact assessments and advise on data breach response protocols.

Compliance:

  • Monitor regulatory developments and industry trends to ensure ongoing compliance with applicable laws and regulations.

  • Assist in establishing and maintaining appropriate policies, procedures, and training to ensure compliance with relevant laws.

  • Working with Deputy General Counsel to design, implement, and oversee compliance programs related to shared services functions.

  • Conduct risk assessments and audits, as necessary.

Litigation Management:

  • Manage and oversee litigation matters involving the company.

  • Collaborate with external counsel to develop litigation strategy, manage discovery processes, and represent the company in arbitrations and mediations.

  • Provide risk assessments and recommendations to senior management regarding potential litigation and dispute resolution strategies.

Cross-functional Collaboration:

  • Collaborate with internal stakeholders, including Finance, HR, IT, Tax, and Business Operations, to provide legal support and guidance on shared services-related matters.

  • Work closely with external legal counsel and other advisors as needed.

  • Provide training and education to employees on legal and compliance issues.

Education & Experience

  • Juris Doctorate (J.D.) Degree from accredited law school.

  • 8 or more years of substantive experience with a corporate legal department or a nationally recognized law firm.

  • In-house experience with large multi-national company, providing shared service support, is preferred.

  • Experience as a legal business partner to internal clients.

  • Strong communication skills required.

  • Membership in good standing with at least one state bar.
